1. Agreement Between You and Construction Conductor, LLC

Welcome to Construct It Yourself.

Construct It Yourself (“CIY”) is an educational membership program and project-management system offered by Construction Conductor, LLC (“Construction Conductor,” “we,” “us,” or “our”).

CIY provides educational content, tools, templates, calculators, checklists, frameworks, and optional support services designed to help project owners plan, bid, and manage their own construction and renovation projects.

These Terms and Conditions of Use (“Terms”) govern your access to and use of www.constructityourself.com, your CIY membership, CIY materials and tools, and any CIY support services you purchase or receive.

By accessing the Site, creating an account, purchasing a membership or service, or using CIY, you agree to these Terms.

Please read them carefully and keep a copy for your records.

2. What CIY Provides

CIY provides educational resources and systems intended to help project owners understand the construction process, organize project information, make informed decisions, and manage their own projects more effectively.

Depending on your membership level or services purchased, CIY may provide:

  • Educational articles, lessons, and guidance;
  • Planning, bidding, and construction frameworks;
  • Checklists and readiness evaluations;
  • Worksheets and templates;
  • Calculators and budgeting tools;
  • Scope-development tools;
  • Bid-package and bid-comparison tools;
  • Project-management resources;
  • Written comments, reviews, or feedback;
  • Coaching or question-and-answer support; and
  • Other educational or advisory resources offered from time to time.

The specific features, services, reviews, support, and benefits included with a membership or purchase are those described in the applicable offer at the time of purchase.

3. CIY Does Not Manage Your Project

CIY is designed to help you manage your own project.

Unless Construction Conductor enters into a separate written agreement with you expressly providing otherwise, neither CIY nor Construction Conductor is acting as your construction manager, project manager, owner’s representative, contractor, architect, engineer, inspector, attorney, accountant, financial advisor, or other licensed professional.

CIY does not take control of your project.

CIY does not hire, retain, supervise, direct, or control contractors, subcontractors, designers, consultants, suppliers, or other project participants on your behalf.

CIY does not have authority to enter contracts, authorize work, approve changes, approve payments, accept work, or otherwise bind you or any project participant.

CIY does not supervise construction means or methods, jobsite conditions, sequencing, safety procedures, workmanship, or contractor operations.

You remain the project owner and remain responsible for managing your project and making your project decisions.

Any construction-management, project-management, or owner’s-representation services provided by Construction Conductor outside CIY require a separate written agreement and are not included merely because you are a CIY member.

4. Your Responsibility as the Project Owner

You are responsible for your project and for decisions made in connection with it.

This includes, as applicable:

  • Defining and approving project scope;
  • Establishing and managing budgets;
  • Selecting contractors and other project participants;
  • Reviewing and entering contracts;
  • Obtaining appropriate legal or professional advice;
  • Making design decisions;
  • Obtaining permits and approvals;
  • Establishing and monitoring schedules;
  • Reviewing work;
  • Approving changes;
  • Reviewing and approving payments;
  • Obtaining required inspections;
  • Addressing building-code and regulatory requirements;
  • Addressing site conditions and safety concerns;
  • Verifying insurance, licenses, qualifications, and references;
  • Resolving disputes; and
  • Determining whether and when your project should proceed.

CIY is intended to improve the information, organization, and decision-making available to you. It does not transfer responsibility for your project to CIY or Construction Conductor.

5. Educational and Advisory Nature of CIY

CIY content and services are provided for educational, informational, organizational, and advisory purposes.

CIY teaches project-management principles, construction processes, planning methods, bidding strategies, project controls, and common industry practices.

Information provided through CIY is not a substitute for professional advice when your project requires an architect, engineer, attorney, accountant, inspector, code professional, contractor, or other qualified professional.

Construction laws, codes, permitting requirements, contract requirements, construction practices, costs, and market conditions vary by location and project.

You are responsible for determining when licensed or project-specific professional assistance is appropriate and for engaging those professionals when necessary.

6. Reviews, Coaching, and Support

Certain CIY memberships or separately purchased services may include reviews, coaching, feedback, comments, question-and-answer support, or other professional assistance.

Such assistance may consider information you provide regarding your particular project. However, it remains advisory and educational in nature unless a separate written agreement expressly states otherwise.

A CIY review is not an architectural, engineering, legal, code, inspection, estimating, or contractor certification.

A review does not constitute approval of your project, scope, budget, plans, specifications, contract, contractor, bid, construction work, payment, or decision to proceed.

CIY may identify issues, questions, inconsistencies, omissions, risks, or areas that warrant additional investigation. A review does not guarantee that every issue, error, omission, risk, or project condition will be identified.

Unless specifically agreed otherwise in writing, CIY does not independently verify dimensions, quantities, existing conditions, concealed conditions, code requirements, contractor representations, pricing, plans, specifications, estimates, schedules, or other information supplied by you or third parties.

No site investigation or physical inspection is included in CIY unless expressly stated in a separate written agreement.

7. User-Provided Information

CIY tools, reviews, calculations, recommendations, and other outputs may depend upon information supplied by you.

You are responsible for the accuracy, completeness, and timeliness of the information you provide to CIY or enter into CIY tools.

Incorrect, incomplete, outdated, or misleading information may produce incorrect or incomplete results.

You should review information generated through CIY using your own judgment and, where appropriate, verify it with contractors, designers, licensed professionals, government authorities, manufacturers, suppliers, or other appropriate sources before relying upon it.

8. Calculators, Checklists, Evaluations, and Other Tools

CIY may provide calculators, checklists, worksheets, templates, readiness evaluations, comparison tools, automated outputs, and similar resources.

These tools are intended to assist with planning, organization, analysis, and decision-making.

Outputs may include estimates, calculations, evaluations, prompts, observations, classifications, or recommendations based upon information available to the tool.

Such outputs are not professional certifications, inspections, engineering calculations, legal opinions, code determinations, contractor bids, appraisals, guarantees, or representations that a project is complete, compliant, properly designed, appropriately priced, or ready to proceed.

Users should independently verify material information before making significant financial, contractual, design, safety, or construction decisions.

9. No Guarantee of Project Outcomes

Construction projects involve conditions and participants outside CIY’s control.

Construction Conductor does not guarantee:

  • Project cost;
  • Final construction cost;
  • Project schedule;
  • Completion date;
  • Contractor performance;
  • Contractor availability;
  • Material availability;
  • Bid amounts;
  • Savings;
  • Permit or inspection approval;
  • Code compliance;
  • Design performance;
  • Quality of workmanship;
  • Absence of defects;
  • Absence of changes or unforeseen conditions; or
  • Any particular project result.

Using CIY may help you make more informed decisions and establish better project controls, but successful project outcomes cannot be guaranteed.

10. Membership and Access

CIY is offered through one or more membership levels and may also offer separately purchased services.

Your membership begins when payment is accepted unless the applicable offer states otherwise.

Your membership provides you with access to the CIY materials and services included with the membership level you purchased for the applicable membership period.

Membership benefits may vary by membership level.

Some memberships may provide primarily self-directed access to CIY materials. Others may include defined milestone reviews, ongoing professional access, coaching, or other support.

The description presented at the time of purchase determines the services included with your membership.

Unless expressly stated otherwise, unused reviews, support services, coaching sessions, or similar benefits expire at the end of the applicable membership period and have no cash value.

11. Membership Renewal

If your purchase is identified as a recurring membership, your membership will automatically renew for successive membership periods unless you cancel before the next renewal date.

Construction Conductor will provide a renewal reminder approximately 30 days before each scheduled annual renewal. The renewal reminder will be sent electronically using the contact information associated with your account and will identify the upcoming renewal and the applicable renewal price.

The renewal price will be the price disclosed to you when you purchase the membership or as otherwise established by the terms of a specific CIY offer.

If a CIY offer states that a particular renewal price will remain available while your membership remains continuously active, Construction Conductor will honor that stated pricing commitment according to the terms of that offer.

For purposes of these Terms, “continuously active” means active without interruption from one membership term to the next. CIY memberships cannot be paused.

If a membership is canceled, expires, lapses, or otherwise becomes inactive, continuous membership ends. Any later membership will be treated as a new membership and may be offered at the then-current membership price.

You authorize Construction Conductor and its payment processor to charge the payment method associated with your account for recurring membership fees until you cancel.

12. Changes in Membership Levels and Services

Construction Conductor may improve, modify, replace, or discontinue individual features, tools, content, or support methods as CIY evolves.

We will not intentionally eliminate the fundamental benefits of a paid membership during its current paid term without providing a substantially equivalent benefit or other reasonable remedy.

New services or features may be offered separately and may require additional payment.

Changing to another membership level may change your membership benefits and pricing.

13. Cancellation

You may cancel a recurring CIY membership at any time.

Cancellation prevents the next automatic renewal. It does not terminate your current paid membership period.

After cancellation, you may continue to use the membership benefits available to you through the end of your current paid membership term unless your access is terminated under these Terms.

At the end of the current paid term, the membership expires and recurring charges stop.

CIY memberships cannot be paused or suspended at the member’s request. A member who does not wish to renew must cancel the membership. If the member later rejoins CIY, the new membership will be subject to the membership options and pricing then available.

Instructions for cancellation will be provided through your account or CIY’s designated cancellation process.

14. Refunds

Except where otherwise stated in a specific offer or required by applicable law, membership fees and fees for services already purchased are non-refundable.

Cancellation of a recurring membership stops future renewals but does not create a refund for the current membership period.

If Construction Conductor cancels a paid service or terminates access without cause before providing a material portion of the purchased service, Construction Conductor may provide a reasonable prorated refund or other appropriate remedy.

Any separate refund or satisfaction guarantee expressly included in an offer will be governed by the terms of that offer.

15. Payment

Prices are stated at the time of purchase.

You agree to pay all charges associated with the membership or service you select, including applicable taxes when required.

Payments may be processed by third-party payment processors such as Stripe, PayPal, or other providers selected by Construction Conductor.

Construction Conductor does not ordinarily receive or store your complete payment-card information when payments are processed by a third-party payment provider.

If a recurring payment fails, Construction Conductor may suspend membership access until payment is successfully completed.

16. Promotional and Founding Memberships

Construction Conductor may offer promotional, introductory, Founders, early-access, or other specially priced memberships.

Eligibility, pricing, included benefits, renewal terms, enrollment limits, and other conditions applicable to those offers will be stated in the applicable offer.

If a Founders or other promotional offer provides that a particular renewal price remains available while the membership remains continuously active, that pricing benefit applies only while the membership remains continuously active without interruption.

CIY memberships cannot be paused.

Cancellation, expiration, lapse, or any other interruption in membership ends the continuous-membership pricing benefit.

If a former member later rejoins CIY, the new membership will be offered under the membership options, benefits, and pricing available at that time.

A promotional or Founders renewal price therefore represents a benefit of maintaining continuous membership and does not create a permanent right to that price after membership has ended.

17. Your Account

You are responsible for maintaining the confidentiality of your account credentials and restricting unauthorized access to your account.

You are responsible for activity occurring through your account unless caused by Construction Conductor’s own systems or actions.

You may not sell, assign, sublicense, share, or transfer your CIY account to another person or entity without written permission from Construction Conductor.

If you believe your account has been accessed without authorization, you should notify Construction Conductor promptly.

Construction Conductor may suspend or terminate accounts reasonably believed to be compromised, misused, shared improperly, or used in violation of these Terms.

18. Eligibility

You must be at least 18 years old to create a CIY account, purchase a CIY membership, or use paid CIY services.

By creating an account or purchasing a CIY service, you represent that you are legally capable of entering into a binding agreement.

19. License to Use CIY Materials

During your active membership or other authorized access period, Construction Conductor grants you a limited, revocable, non-exclusive, non-transferable license to access and use CIY materials for your own project or projects and for the purposes for which the materials were provided.

Your membership does not transfer ownership of CIY content or intellectual property to you.

You may download, print, complete, modify, and use CIY worksheets, templates, checklists, forms, and other materials to the extent reasonably necessary to manage your own project.

You may share project-specific documents created from CIY materials with participants in your own project when reasonably necessary for that project.

For example, you may use a CIY-derived scope or bid package with contractors bidding your project.

Such permitted project use does not authorize commercial redistribution or resale of CIY materials.

20. Intellectual Property

Unless otherwise stated, the Site, CIY system, CIY methodologies, written content, graphics, branding, checklists, frameworks, worksheets, templates, calculators, tools, software, databases, and other CIY materials are owned by Construction Conductor or its licensors and are protected by applicable intellectual-property laws.

Except for the limited project-use license expressly granted by these Terms, you may not, without written authorization:

  • Sell or resell CIY materials;
  • Publish or redistribute CIY materials;
  • Provide CIY materials as part of another commercial service;
  • Copy substantial portions of the CIY system for another training, coaching, consulting, software, or educational product;
  • Share your membership or provide unauthorized access to CIY;
  • Systematically download or extract CIY content;
  • Scrape or harvest CIY data or content;
  • Circumvent access controls;
  • Reverse engineer CIY software or technical systems except where such restriction is prohibited by law;
  • Remove copyright, trademark, attribution, or proprietary notices; or
  • Represent CIY materials as your own proprietary system.

Nothing in these Terms grants any ownership interest in Construction Conductor or CIY intellectual property.

21. Materials You Provide to CIY

You retain ownership of project information, photographs, plans, bids, contracts, budgets, documents, comments, and other materials you submit to CIY (“User Materials”), subject to any rights held by third parties.

By submitting User Materials, you grant Construction Conductor a limited, non-exclusive license to store, copy, process, transmit, display internally, and otherwise use those materials as reasonably necessary to provide CIY services to you, maintain the Site, provide technical support, comply with legal obligations, and protect the security and integrity of CIY.

This operational license ends when the materials are no longer reasonably required for those purposes, subject to ordinary backups, legal retention requirements, and our Privacy Policy.

Submitting User Materials does not give Construction Conductor permission to publish your project, identify you publicly, use your name or likeness in marketing, or use your project as a public case study or testimonial.

Construction Conductor will obtain separate permission before using identifiable User Materials for public marketing or promotional purposes.

You represent that you have the legal right to provide materials you submit and that our permitted use of those materials will not violate another person’s rights.

22. Feedback and Suggestions

If you voluntarily provide ideas, suggestions, recommendations, corrections, or other feedback regarding CIY itself, Construction Conductor may use that feedback to develop, improve, or operate CIY without compensation or obligation to you.

This section applies to feedback about CIY and does not convert your private project materials into Construction Conductor property.

23. Privacy

Use of CIY is subject to the Construction Conductor/CIY Privacy Policy.

The Privacy Policy explains how personal information is collected, used, maintained, and disclosed.

The current Privacy Policy is available through the Site.

24. Electronic Communications

By using the Site, creating an account, purchasing CIY, or communicating with Construction Conductor electronically, you consent to receive communications electronically.

These communications may include account information, purchase confirmations, membership notices, renewal notices, service communications, support responses, legal notices, and other communications relating to CIY.

You agree that electronic communications may satisfy legal requirements that a communication be provided in writing, to the extent permitted by applicable law.

Marketing communications will be handled in accordance with applicable law and any available communication preferences.

25. Third-Party Products, Services, and Websites

CIY may refer to or link to third-party websites, products, services, contractors, professionals, manufacturers, software, government resources, or other external resources.

These third parties are independent from Construction Conductor unless expressly stated otherwise.

A link, reference, example, or discussion does not constitute a guarantee or endorsement of a third party’s performance, qualifications, products, services, information, or practices.

You are responsible for evaluating third parties before relying upon or contracting with them.

CIY may also rely upon third-party technology providers for functions such as hosting, payment processing, email, analytics, document processing, or other services.

Information may be shared with such service providers as reasonably necessary to provide CIY, subject to our Privacy Policy and applicable law.

26. Acceptable Use

You may not use CIY or the Site to violate applicable law, interfere with the operation or security of the Site, gain unauthorized access to systems or accounts, distribute malicious software, impersonate others, infringe intellectual-property rights, harass others, harvest information without authorization, or use CIY for fraudulent or unlawful purposes.

You may not use automated systems to scrape, systematically copy, reproduce, or extract CIY content except with Construction Conductor’s written permission.

Construction Conductor may restrict or terminate access for material violations of this section.

27. Availability of the Site

Construction Conductor works to keep CIY reasonably available but does not guarantee uninterrupted or error-free operation.

Access may occasionally be interrupted for maintenance, upgrades, technical problems, security concerns, third-party outages, events outside our control, or other operational reasons.

Construction Conductor may update, maintain, repair, or modify the Site and CIY systems as reasonably necessary.

28. Construction-Specific Risks

Construction and renovation projects involve inherent uncertainty.

Conditions outside Construction Conductor’s control may include concealed conditions, existing building deficiencies, inaccurate plans, code requirements, permitting decisions, contractor performance, workmanship, labor availability, material costs, supply-chain conditions, weather, market pricing, owner decisions, design changes, accidents, disputes, and other circumstances.

To the maximum extent permitted by law, Construction Conductor is not responsible for losses caused by contractors, subcontractors, designers, engineers, architects, consultants, suppliers, inspectors, government authorities, manufacturers, or other independent third parties.

Construction Conductor is not responsible for jobsite safety, construction means and methods, defective workmanship, property damage, bodily injury, contractor default, delays, cost overruns, code violations, permit problems, design errors, concealed conditions, or other project conditions merely because you used CIY in connection with the project.

29. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, CIY CONTENT, TOOLS, MATERIALS, SOFTWARE, REVIEWS, SUPPORT, AND OTHER SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

CONSTRUCTION CONDUCTOR MAKES NO WARRANTY THAT CIY WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETE, OR SUITABLE FOR EVERY PROJECT OR THAT USE OF CIY WILL PRODUCE ANY PARTICULAR PROJECT RESULT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTRUCTION CONDUCTOR DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSTRUCTION CONDUCTOR, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST DATA, LOSS OF USE, PROJECT DELAYS, COST OVERRUNS, LOSS OF PROPERTY VALUE, OR OTHER CONSEQUENTIAL PROJECT LOSSES ARISING OUT OF OR RELATING TO CIY, YOUR USE OF CIY, OR YOUR CONSTRUCTION OR RENOVATION PROJECT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSTRUCTION CONDUCTOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO CIY, YOUR MEMBERSHIP, CIY CONTENT, CIY TOOLS, OR SERVICES PROVIDED AS PART OF YOUR CIY MEMBERSHIP WILL NOT EXCEED THE AMOUNT OF ONE ANNUAL CIY MEMBERSHIP FEE APPLICABLE TO YOUR MEMBERSHIP AT THE TIME THE CLAIM AROSE.

This limitation applies to all claims in the aggregate, regardless of the number of claims asserted, events involved, or legal theories relied upon.

Accordingly, to the maximum extent permitted by law, the maximum monetary recovery available from Construction Conductor for claims arising from or relating to a CIY membership is limited to the cost of one year of that CIY membership.

These limitations apply whether a claim is based in contract, tort, negligence, statute, strict liability, or another legal theory, and even if Construction Conductor has been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that applicable law does not permit Construction Conductor to limit or exclude.

31. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Construction Conductor, its members, officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, and reasonable costs arising from:

  • Your unlawful use of CIY;
  • Your material violation of these Terms;
  • Materials you submit in violation of another person’s rights; or
  • Your fraudulent, willful, or unlawful conduct.

This indemnification obligation does not require you to indemnify Construction Conductor for Construction Conductor’s own negligence, willful misconduct, or violation of law to the extent such indemnification would be prohibited by applicable law.

32. Suspension and Termination

Construction Conductor may suspend or terminate your access to CIY for material violation of these Terms, nonpayment, fraud, unauthorized account sharing, misuse of CIY intellectual property, threats to the security or operation of the Site, illegal activity, or abusive conduct directed toward CIY personnel or other users.

Where reasonably appropriate, Construction Conductor may provide notice and an opportunity to correct a violation before termination.

Termination does not grant a right to reproduce, retain, distribute, or continue using protected CIY materials after your authorized access ends except for project documents you were permitted to create and retain under these Terms.

Provisions that by their nature should survive termination—including intellectual-property rights, disclaimers, limitations of liability, dispute-resolution provisions, and obligations relating to previously submitted materials—will survive.

33. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before initiating formal proceedings, you and Construction Conductor agree to make a good-faith effort to resolve disputes informally.

A party seeking to raise a dispute should provide written notice describing the dispute and requested resolution. The parties will have at least 30 days from receipt of the notice to attempt an informal resolution before commencing arbitration, unless immediate relief is reasonably necessary.

Except for claims eligible for small-claims court and claims seeking appropriate injunctive relief relating to intellectual-property misuse, unauthorized access, or similar misuse of CIY systems or materials, disputes arising out of or relating to these Terms, CIY, or a CIY purchase will be resolved by binding individual arbitration.

Arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules in effect when the arbitration is filed, except to the extent those rules conflict with applicable law.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

Unless the parties agree otherwise or applicable rules require otherwise, arbitration will take place in Travis County, Texas, remotely, or at another location reasonably appropriate under the applicable AAA rules.

Judgment on the arbitration award may be entered in any court having jurisdiction.

Nothing in this section prevents either party from bringing an individual claim in a court of competent jurisdiction that qualifies for small-claims treatment.

Nothing in this section prevents Construction Conductor from seeking appropriate temporary or injunctive relief from a court to protect intellectual-property rights, account security, or CIY systems while a dispute is being resolved.

34. Class and Representative Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CONSTRUCTION CONDUCTOR AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

NEITHER PARTY WILL BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION AGAINST THE OTHER EXCEPT WHERE APPLICABLE LAW PROVIDES OTHERWISE.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

If a court determines that a particular portion of this waiver cannot lawfully be enforced with respect to a particular claim or remedy, that claim or remedy will proceed as required by applicable law, while enforceable portions of this section remain in effect.

35. Governing Law

Except to the extent federal law applies or applicable consumer law requires otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

For disputes that are not required to be arbitrated under these Terms, the parties consent to jurisdiction and venue in the state or federal courts with appropriate jurisdiction in Travis County, Texas, except where applicable law gives a consumer the right to proceed elsewhere.

36. International Users

CIY is controlled and operated by Construction Conductor from the United States.

If you access CIY from outside the United States, you are responsible for determining whether CIY is appropriate for your circumstances and for complying with laws applicable to you and your project.

CIY materials are not intended to establish that United States construction practices, laws, codes, contracts, or procedures apply in another country.

37. No Partnership, Employment, or Agency Relationship

Your use of CIY does not create a partnership, joint venture, employment relationship, fiduciary relationship, contractor relationship, or agency relationship between you and Construction Conductor.

Construction Conductor has no authority to act on your behalf unless that authority is expressly established in a separate written agreement.

38. Order of Terms

These Terms govern the general use of CIY.

A specific purchase page, proposal, order, or written offer may establish additional terms concerning price, membership duration, included services, promotional pricing, renewal pricing, or other features of a particular purchase.

If a specific written purchase term conflicts with these Terms regarding the commercial details of that purchase, the specific purchase term controls for that issue.

A separate signed agreement for services outside CIY, including Construction Conductor owner’s-representation or project-management services, will be governed by that separate agreement.

39. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Where permitted, an invalid or unenforceable provision will be interpreted or modified only to the extent reasonably necessary to make it enforceable while preserving its intended purpose.

40. No Waiver

Failure by Construction Conductor to enforce a provision of these Terms on one occasion does not waive the right to enforce that provision or another provision in the future.

41. Entire Agreement

These Terms, together with the Privacy Policy and any applicable purchase-specific terms, constitute the agreement between you and Construction Conductor regarding your use of CIY.

They supersede prior representations or agreements concerning the same subject matter, except for a separate written agreement expressly intended to govern additional Construction Conductor services.

42. Changes to These Terms

Construction Conductor may update these Terms as CIY, applicable law, or business practices change.

The current version will be posted on the Site with its effective date.

Material changes affecting an active paid membership will be communicated in a reasonable manner when required by law or when the change materially alters the parties’ rights or obligations.

Changes will apply prospectively from their effective date unless applicable law permits otherwise.

Your continued use of CIY after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
